These Terms of Use (“Terms”) describe the terms and conditions applicable to your access and use of website(s) and products (“Site” or “Sites”) maintained by Millonex LLC ("Millonex"). By using any Millonex Site, you acknowledge that you have read and understand these Terms and agree to be bound by them.  IF YOU DO NOT AGREE TO THESE TERMS, PLEASE REFRAIN FROM USING THIS OR ANY OTHER MILLONEX SITE. 

If you are accessing this Site and are currently operating under a separate Subscription Purchase Agreement (“Agreement”) between Millonex and you or your employer as a customer, your use of the Site is also subject to any additional product and service terms (“Additional Terms”) contained therein, where your Agreement will take precedence over these Terms. 

Terms and Modifications

Millonex may modify its Sites and the rules and regulations governing their access and use at any time. Any modification will be included in these Terms. You agree to review the Terms periodically to be aware of such modifications and your continued access or use of this Site shall be deemed your acceptance of the modified Terms. Your use of this Site is conditioned upon the Term in force at the time of your use.

MISCELLANEOUS

By using this Site, you expressly agree that your rights and obligations shall be governed by and interpreted in accordance with the laws of the State of Illinois, excluding its choice of law rules. You agree that all disputes brought under these Terms shall be resolved by binding arbitration before a single arbitrator under the commercial arbitration rules of ADR Systems in Chicago, IL. 

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE GIVING UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS.   YOU MAY ONLY RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS. YOUR RIGHTS WILL BE DETERMINED BY BINDING ARBITRATION AND NOT A JUDGE OR JURY AND YOUR CLAIMS CANNOT BE BROUGHT AS A PLAINTIFF OR AS A CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

The failure of Millonex to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
